Annual Members’ Meeting

Thank you to those Members who joined us at the Annual Members’ Meeting and Special Members’ Meeting on Wednesday 27 April 2022 and the Special Members’ Meeting on Friday 13 May 2022.

A total of over 1,400 people participated in the meetings. The results of the voting can be found below. Annual Members’ Meeting 27 April 2022 - Voting results All resolutions were passed. Below is a breakdown of the voting results:

1. To receive the Society’s Annual Report for the year ended 22 January 2022. The resolution was passed: 91.69% in favour, 1.33% against and 6.98% abstained.

2. To approve the Annual Report of the Remuneration Committee as contained in the Society’s Annual Report & Financial Statements for the year ended 22 January 2022. The resolution was passed: 87.76% in favour, 2.10% against and 10.14% abstained.

3. To approve the re-appointment of the Society’s Independent Auditor, PricewaterhouseCoopers, for the financial year ending January 2023. The resolution was passed: 81.12% in favour, 5.61% against and 13.27% abstained.

4. To approve a Member Dividend rate of 1 penny per point for purchases made in the second half of the financial year – which covered the period from 8 August 2021 through to 22 January 2022. The resolution was passed: 94.91% in favour, 2.31% against and 2.78% abstained.

5. To approve a colleague dividend distribution of £777,000. The resolution was passed: 93.93% in favour, 2.34% against and 3.74% abstained.

6. To approve Membership and Community Distributions comprising:

a) £155,000 for the Community Dividend Fund

b) £475,000 for the Membership and Community 2022/23 Annual Budget

c) £86,000 to fund our partnerships with other co-operatives

d) £80,000 to fund other Membership Support The resolution was passed: 94.39% in favour, 2.34% against and 3.27% abstained.

Special Members’ Meeting 27 April 2022 - Voting result

That the engagements relating exclusively to pre-paid funeral plans business of the Society including:

(a) The whole of the benefit and the burden of any agreements between the Society and any third party relating to the pre-paid funeral plans business;

(b) all data held by the Society in relation to the pre-paid funeral plans business;

(c) all management and administrative responsibilities in relation to the pre-paid funeral business; and

(d) any other assets (including any liability or benefit under any contract or arrangement) which the Society owns or has the benefit of and which are used exclusively by the pre-paid funeral plans business in carrying on the pre-paid funeral plans business; be transferred under section 110 of the Co-operative and Community Benefit Societies Act 2014 to Central England Co-operative Funeral Plans Limited (a subsidiary of the Society) by way of a partial transfer of engagements for nil consideration. The resolution was passed: 91.67% in favour, 2.50% against and 5.83% abstained

Special Members Meeting 13 May 2022 - Voting result

That the engagements relating exclusively to pre-paid funeral plans business of the Society including:

(a) The whole of the benefit and the burden of any agreements between the Society and any third party relating to the pre-paid funeral plans business;

(b) all data held by the Society in relation to the pre-paid funeral plans business;
